Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, and software platform (collectively, the "Platform") offered by CRISTIANO PEREIRA DA SILVA MUNIZ, LLC, a Delaware limited liability company doing business as "HireInBrazil" ("HireInBrazil", "we", "us", or "our"). By creating an account, signing into an existing account, or using any part of the Platform, you agree to these Terms.

These Terms apply to: (a) individuals creating an account on behalf of a U.S. company seeking to engage Brazilian contractors (a "Tenant"); (b) Brazilian PJ contractors who execute an Independent Contractor Agreement with us; (c) individuals exploring the Platform without a tenant relationship (e.g., visitors to marketing pages, prospective talent registering interest).

These Terms are authored and maintained in English. If you view a translated version, including through the site's translation feature, the English version controls.

1. The relationship between this ToS and other documents

These Terms are the public-facing rules governing Platform access. Signed contractual instruments (the Master Services Agreement, Statements of Work, Independent Contractor Agreements, Data Processing Agreement, and any riders) take priority over these Terms.

A Tenant authorized representative additionally signs:

  • A Master Services Agreement governing the commercial relationship;
  • A Data Processing Agreement governing data protection.

A Brazilian Contractor additionally signs an Independent Contractor Agreement for each engagement.

Marketing visitors and pre-engagement Talent are governed by these Terms plus the Privacy Policy and the Acceptable Use Policy.

2. Eligibility

You may use the Platform only if:

  • you are at least 18 years old;
  • you have the legal capacity to enter into a binding contract;
  • you are not located in, or a citizen or resident of, any country subject to U.S. sanctions per OFAC's then-current list;
  • you are not on any U.S., Brazilian, EU, or UN sanctions list, denied-persons list, or specially designated nationals (SDN) list;
  • you are accessing the Platform for a lawful business purpose consistent with the Acceptable Use Policy.

If you are accepting these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

3. Accounts

You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at security@hireinbrazil.com of any suspected unauthorized access.

We may suspend or terminate accounts that we reasonably believe violate these Terms, present security risks, or are required by law to be suspended.

4. Acceptable use

Use of the Platform is subject to the Acceptable Use Policy. In particular, you may not:

  • use the Platform to engage individuals for any purpose prohibited by U.S. or Brazilian law;
  • attempt to evade tax, immigration, sanctions, anti-corruption, anti-money-laundering, or worker-classification laws;
  • reverse-engineer, decompile, or disassemble the Platform;
  • access the Platform in a manner that imposes a disproportionate load (e.g., scraping, denial-of-service);
  • introduce malware, viruses, or any code intended to harm the Platform or its users;
  • impersonate any person or misrepresent your affiliation with any person;
  • attempt to interfere with the Platform's security features.

Repeated or material violation is grounds for termination per Section 9.

5. Fees

The Platform's pricing is described on the Platform's pricing page. Tenant-specific fee terms are governed by the executed Master Services Agreement and any Pricing Agreement Rider. By creating a Tenant account, you authorize HireInBrazil to charge the payment method you register for all Platform Fees, contractor payments, and surcharges per the Master Services Agreement.

For pre-engagement Talent: registering interest is free. Once we connect a Talent with a paying Tenant and the engagement is executed, the Tenant pays HireInBrazil the Platform Fee; no fee is charged to the Talent.

6. Intellectual property

The Platform, including all software, content, designs, trademarks, and documentation, is owned by HireInBrazil or its licensors. These Terms grant you only the right to access and use the Platform as set forth herein; no ownership transfers.

You retain ownership of data you submit ("Your Data"). You grant HireInBrazil a limited license to process Your Data solely as needed to operate the Platform, per the Privacy Policy and (for Tenants) the Data Processing Agreement.

Feedback you provide about the Platform is licensed to HireInBrazil on a perpetual, royalty-free, irrevocable basis.

7. Privacy

Your use of the Platform is subject to the Privacy Policy published on the Platform. The Privacy Policy describes the Personal Data we collect, how we use it, with whom we share it, and your rights under applicable data protection laws including the Brazilian LGPD and the California CCPA/CPRA.

8. Disclaimers

THE PLATFORM AND ALL CONTENT AND SERVICES OBTAINED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. THE PLATFORM IS A SOFTWARE TOOL: HIREINBRAZIL DOES NOT WARRANT THE PERFORMANCE, AVAILABILITY, OR OUTCOMES OF ANY CONTRACTOR ENGAGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; TO THAT EXTENT, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Termination

You may stop using the Platform at any time. To terminate a Tenant relationship, follow the termination provisions of the Master Services Agreement. To delete a Talent profile, use the in-Platform delete function or contact privacy@hireinbrazil.com.

HireInBrazil may suspend or terminate your access immediately for: violation of these Terms or the AUP; suspected fraud, sanctions evasion, or illegal activity; risk to Platform security; or as required by law.

On termination, Sections 6, 8, 10, 11, 12, and 13 survive.

10. Limitation of liability

IF YOU HAVE EXECUTED A MASTER SERVICES AGREEMENT OR INDEPENDENT CONTRACTOR AGREEMENT WITH US, THE LIABILITY PROVISIONS OF THAT AGREEMENT CONTROL. FOR ALL OTHER USERS, TO THE FULLEST EXTENT PERMITTED BY LAW, HIREINBRAZIL, ITS AFFILIATES, AND THEIR SERVICE PROVIDERS, EMPLOYEES, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, AND HIREINBRAZIL'S AGGREGATE LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless HireInBrazil, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Platform, or your infringement of any third-party right.

12. Governing law and dispute resolution

If you have signed an agreement with us. If you, or the entity you represent, have executed a Master Services Agreement, Independent Contractor Agreement, or other written agreement with HireInBrazil, the governing-law and dispute-resolution provisions of that executed agreement control all disputes between you and us, including disputes relating to these Terms.

All other users. If you use the Platform without an executed agreement, please direct any question or dispute regarding these Terms to legal@hireinbrazil.com. We will engage with you in good faith to resolve the matter informally before either party initiates formal proceedings. Nothing in this section limits or waives any right or protection granted to you by applicable law that cannot be limited or waived.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

  • post the new version with an updated Last updated date;
  • bump the version number;
  • present the new Terms as an acceptance prompt on your next sign-in to the Platform where acceptance is required.

You must accept the new Terms to continue using the Platform. If you decline, your access will be terminated per Section 9.

Continued use after the effective date of new Terms constitutes acceptance.

14. Miscellaneous

These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and HireInBrazil regarding Platform access for users who have not executed a separate written agreement with us. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that communications be in writing.
